Community Terms and Conditions

Frontify is the all-in-one brand management software for increasing brand consistency, efficiency, and design collaboration. Providing clarity in an otherwise complicated brand world, it’s where powerful brand experiences are created and shared – a single source of truth.

To give every brand a voice, find inspiration, share and collect resources, discover brand evolutions and meet peers with whom to share know-how, ideas and struggles, Frontify has created Voices of Brand (also referred with the term “Community”). Voices of Brand is where the people behind brands (“Voice of Brand” or “You”) come together to engage, inspire, and uplift one another on a shared journey to shape the future of branding hosted by Frontify. In our vision, Voices of Brand are passionate professionals, acting either individually or on behalf of their companies, who have a strong desire to build true, long-lasting and trustworthy human relationships and who perceive the Community as a place to feel free to share their opinions, commit to develop personal and professional relationships, and be ready to get inspired and empowered by one another. Hence, Voices of Brand is the vehicle to nurture such feelings, create durable bonds, and allow every Voice of Brand to find a home to connect and contribute to the evolution of brands.

The participation in the Community is governed by these Terms and Conditions, which you must read and accept to access the Community, along with any other agreement entered between You and Frontify AG, including its affiliates, (“We” or “Us”), our privacy and cookie policies, and any other guidelines or policies we post on the Community (the “Terms”). Thus, by creating your profile and joining the Community you agree to be bound by these Terms. If you do not accept these Terms you are aware of the fact that it won’t be possible for you to become a Voice of Brand.

1 - Becoming a Voice of Brand

Only individuals who are at least 18 (eighteen) years old and have a serious interest or are professionals in the field of branding can join the Community and become Voices of Brand. If You are under 18 years old you cannot join and access the Community.

If You are already a User of Frontify, participate in our Referral Partnership Program, or are a Strategic Partner of Frontify, as these terms are defined in the respective agreements in place between You and Us, You can automatically become a Voice of Brand. However, to become a Voice of Brand and access the different functionalities of the Community, You do not need to have created a Frontify account or to have previously purchased a license to use Frontify, but You will always need to set up your account here and create your own user profile in the Community. You are the only one responsible for the legality and correctness of your account, your user profile and anything that happens under it, and You are required to share User Content and Brand Ideas, as defined in section 3 below, using your Profile. It is your responsibility to keep your username and password personal and confidential as well as to notify Us as soon as possible in the event that You know or suspect that their confidentiality has been compromised.

You acknowledge that any personal information You consent to give us, other than name and email address to create your account, is optional and that might be processed by Us in accordance with our privacy policy. Information of your profile other than your user name and other information that You agree to make public will not be shared with any other member of the Community, but will be accessible by the the employees of Frontify managing the Community (“Community Managers”).

2 - Behaving like a Voice of Brand

From great powers come great responsibilities and from great Voices of Brand come great ideas. However, ideas are purposeless if communicated in an impolite and disrespectful manner. For this reason, in order to enjoy the Community You are required to behave like a Voice of Brand This means that first and foremost You are responsible for the management of your user profile and everything that happens under there in accordance with these Terms, including the guidelines on “Behaving like a Voice of Brand” (“Guidelines”) that You are required to accept and follow and that are a must-go to remain part of the Community. To make sure You achieve that, there are few aspects that We need You to consider and respect:

  • Choose an appropriate username: this means that You shall not use offensive names or other expressions that might be discriminatory or be deemed to be considered inappropriate, misleading and vulgar. They are strictly forbidden and we reserve the right to immediately suspend and ban You from the Community

  • Share ideas, articles, and questions: Without You this wouldn’t be a community, that simple. Feel free to add any idea, article, resource, question or feedback that you want to share with the other voices and become a driver of brand change.

  • Use respectful language: You are expected to be polite and respect others. Hate speech, messages inciting violence or illegal activities, harassing or impersonating others, offensive or pornographic Contents will not be tolerated in this Community. Our Community Managers will take down your post if they consider it to be disrespectful, and may even go so far as to ban your account if the behaviour is inappropriate.

  • Private Messages: As a Voice of Brand, You can send and receive private messages. Every private communication is subject to the exact same rules as the Contents uploaded in public forums.

  • Do not upload inappropriate Contents: Contents that are not appropriate for the standards of the Community will be removed by the Community Managers, who can also suspend and delete your account. Frontify has the right to do that at its own discretion and without any prior notice.If You see any behaviour that You consider not correct, please contact one Community Manager in order to take the appropriate actions.

  • Social Media Content: The Community also supports sharing Contents on social media platforms, whichever they are and as long as they are appropriate for the purposes of sharing, including by allowing other Voices of Brand and Us to share Contents on social media. You may share other Contents on social media, as long as you include a link to the Community or tag Frontify in your post.

  • No Advertisement: The Community is not a marketplace. So, please don’t use the Community to publish any marketing communications, or to advertise your or others’ product or services – this behaviour will be banned by the Community Manager. Reach out to the Community Managers if you’re interested in sending marketing information to members and We will decide at our own discretion whether or not this is appropriate.

  • No illegal purposes: Do not use the Community to pursue illegal purposes, contrary to the rights and legitimate interests of Us and any other third party, including other Voices of Brand, or in any other manner that may tamper, disrupt, overload, or otherwise damage the Community or the site and services offered by Frontify.

  • IP rights of third parties: Please, check that you can share the Contents before posting them or making them available through the Community. We respect intellectual property and other rights owned by third parties, and we expect you to honor them at all times.Remember that We are neither responsible nor liable for any third party intellectual property right infringement that is connected with your Contents.

3 - The Content, including intellectual property rights

The Community is a space where every Voice of Brand can grow personally and professionally, share ideas and knowledge with one another and make suggestions on how We can improve our products and services. For this reason, the Community offers a variety of possibilities regarding the content that populates it (“Contents”).

3.1 - Voices of Brand Content

First of all, the Community is the place where every Voice of Brand, in accordance with these Terms, can upload and share information, data, digital files, send private messages to other members, write opinions in the groups that the Voice of Brand is part of, send and receive private messages, and, more in general, feel free to share with other Voices of Brand any other asset such as videos, images, logos and anything else that you think is worth (“Voices of Brand Content”), which may also contain proprietary information. Therefore, You acknowledge and accept that the Voice of Brand Content does not necessarily reflect Frontify views or position.

Each time You upload and share Voice of Brand Content, You acknowledge and agree to grant Us a worldwide, perpetual, royalty-free, irrevocable, sublicensable and transferable license to use your Voice of Brand Content, either in connection with the Community or for other purposes. This license includes the rights to distribute, reproduce or copy, communicate to the public, transform, or modify, adapt, translate, or otherwise use Voices of Brand Content in any form or format, and by using any media. You warrant and represent that the license granted herein does not conflict with third-party rights or legitimate interests, and that there are no other conflicting rights (such as privacy or image rights) that may limit, prevent or otherwise impact this license.

3.2 - Frontify Content

We also offer to Voices of Brand the possibility to access different private and public groups, forums and other discussion spaces as well as to freely consult and use material, documents and other assets (“Frontify Content”) uploaded by Community Managers. All the Frontify Content, including the Community, is protected by copyright law and We and our suppliers retain all right, title and interest in and to the Community, any Frontify Content on the Community and the services We offer to Voices of Brand. We retain all rights to our branding, logos, claims, trademarks and service marks, and You can only use them if so agreed with Us in these Terms. We can require You to stop using Frontify Content at any moment and You shall immediately stop using and return Us all Frontify Content if so requested by Us.

3.3 - Brand Ideas

The Community is also a place to spur brand innovation. In this regard, Voices of Brand may use the different communication options offered by Us to share their opinions, give suggestions and feedback to Frontify to ameliorate its current offer or to develop new products or services for Frontify, or simply to leave a comment about somebody’s else products or services ("Brand Ideas"). However, while doing so, You acknowledge and agree that: (a) You will follow the Guidelines and respect these Terms, (b) your Brand Ideas are not covered by any confidentiality obligation and that We have no obligation to keep them secret, (c) your Brand Ideas are yours and are not the intellectual property of somebody else, do not contain proprietary information and will automatically become property of Frontify without any obligation toward You, (d) We might already have something similar to your Brand Ideas in mind or in development, and (e) You shall not and We are not obligated to compensate or reimburse You for any Brand Ideas under any circumstances.

You acknowledge that We will be entitled to use or disclose (or choose not to use or disclose) Brand Ideas for any purpose, in any way, in any media worldwide, including on social media, and to create derivative works.

3.4 - External Content

Voices of Brand may provide in the Community and/or embed in Contents links to external websites or resources, which are not directly part of the Community (“External Content”). You acknowledge and agree that Frontify is not responsible for the availability of such External Content and does not endorse and is not responsible or liable for any External Content available from such websites or resources. We shall have no obligation to review the External Content of said webpages or resources and the services or products that third parties may offer through them, and their existence does not imply that We support, promote, endorse, sponsor, guarantee, or recommend such External Content. You further acknowledge and agree that Frontify shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such External Content available on or through any such website or resource.

3.5 - Responsibilities

You have the sole and unique responsibility for any Voices of Brand Content and Brand Ideas You create, submit and share in the Community and the consequences that these portions of Contents might bring to the Community and to yourself. We have no obligation to (but may, in our discretion) monitor or review Voice of Brand Content and Brand Ideas. In this regard, You warrant us that your Voice of Brand Content and Brand Ideas will respect these Terms, including the Guidelines. We bear no responsibility for and make no warranties about others’ Voice of Brand Content and Brand Ideas that You may encounter while enjoying the Community, including whether they infringe third parties rights, the Guidelines or their reliability, accuracy, usefulness or safety.

You may find Voice of Brand Content and Brand Ideas to be offensive, indecent, objectionable or against the Guidelines and if this happens You can always contact us at community@frontify.com or send a private message to a Community Manager. However, you agree not to hold us responsible or liable in any way for any Voice of Brand Content and Brand Ideas You encounter. We reserve the right to remove any Contents at any time without notice, for any or no reason, including if any such Contents violate these Terms. We do not promise to store or make available to the Community any Contents for any length of time.

4 - Warranty Disclaimer

The Community and any Contents is provided by Frontify “As Is”, with “All Faults” and “As Available”. The entire risk of use and performance remains with You. Frontify makes no warranties, express or implied, and hereby disclaims all implied warranties, including any warranty of merchantability and warranty of fitness for a particular purpose of the Community. We make no representations or warranties that the Community will be provided or be available uninterrupted, rimely, secure, accurate, or reliable, or that it will be error-free or free from viruses, worms, or other harmful or malicious components. We make no warranties for the behaviour of other Voices of Brand, including that any Voice of Brand will upload Contents in accordance with these Terms and the Guidelines.

5 - Indemnification

You will indemnify, defend, and hold Frontify, its officers, directors, employees, agents, partners, suppliers, and/or licensors harmless, and will keep them indemnified from and against any claim, loss, expense, liability, damage or demand (including all attorney’s fees) relating to, arising from, or allegedly arising from your use of the Community, your Contents, the breach of these Terms, or any infringement, violation or misappropriation of Frontify and/or third parties intellectual property rights or other rights.

6 - Liability

To the maximum extent permitted by applicable law, except for bodily injury of a person, fraud or wilful misconduct, We and our affiliates, including employees, officers, suppliers and representatives shall not be responsible or liable with respect to any subject matter of these Terms, the Community or other terms and conditions related thereto whether in contract, tort and negligence, or any other form of action, even if You have notified Us and advised of the possibility of such damages for: (a) error or interruption of use of the Community or for loss or inaccuracy or corruption of data or Contents, (b) cost of procurement of substitute goods, services or technology or loss of business; (c) any action You take (or not take) based on any Contents of the Community; (d) any viruses or harmful code on or in the Community and any Contents, (e) any indirect, exemplary, incidental, special, punitive or consequential damages; (f) any matter beyond Frontify's reasonable control; or (g) to the extent such limitations are not enforceable under applicable law for any amounts that, together with amounts associated with all other claims, exceed the agreed amount of 100 Swiss Francs.

7 - Termination

You may leave the Community at any time and stop being a Voice of Brand, at least together with Us. To leave the community you must delete your profile and ask us to erase your account, including by deleting your associated email address and access to the Community. You can request this by contacting a Community Manager at community@frontify.com.

You also acknowledge and agree that We may, at our own discretion, without prior notice, immediately terminate, limit your access to, suspend or ban You from being a Voice of Brandin case we believe You have violated any of these Terms or for any other reason. You acknowledge Frontify will still have the right to use and reproduce any Contents You have contributed to in the Community even after the termination. Termination of your role as a Voice of Brand includes any or all of the following: (a) removal of access to all or part of the offerings within the Community, (b) deletion of your password and all related information, files, and content associated with or inside your account (or any part thereof), and (c) banning from any further use of all or part of the Community. Further, You agree that Frontify shall not be liable to You or any third party for any termination of your account, any associated email address, or access to the Community, nor will termination or suspension limit any other rights or remedies We may have.

Remember that this Community is created by Frontify, so We reserve the right to change, add to or disable the Community at any time, without notice or liability. The following sections will survive any termination of these Terms or termination of the Community: 3 (Contents, including Intellectual Property), 4 (Warranty Disclaimer), 5 (Indemnification), 6 (Liability), 7 (Termination), 9 (Applicable Law and Jurisdiction), and 10 (Final Provisions).

8 - Communication

Every communication between You and any other Voice of Brand can be done publicly or in private via the communication channels provided by the Community. If you feel like You want to complain about other Voices of Brand behaviours, You can always contact a Community Manager by sending a private message or send an email to community@frontify.com. For any data privacy request connected to the processing of Personal Data please visit our privacy policy. We may provide you with notices via email or the Community, as determined by Us in our discretion. Any other notices You give to us under these Terms will be deemed given only when personally delivered, delivered by reputable international courier requiring signature for receipt, or three (3) business days after being deposited in the mail, first class, postage prepaid, in each case to the Company at the current postal address listed.

9 - Applicable law and jurisdiction

These Terms shall be governed by the laws of Switzerland without regard to conflicts of laws provisions thereof, and without regard to the United Nations Convention on the International Sale of Goods or the Hague Convention on Purchases). In the event of any differences of opinion in connection with these Terms, both of us undertake to attempt to agree to a mutually agreed regulation in good faith. If, despite the efforts, no agreement could be made by amicable means, the jurisdiction and venue for actions related to the subject matter hereof shall be St Gallen, Switzerland. Notwithstanding the foregoing, Frontify may bring a claim for equitable relief in any court with proper jurisdiction.

10 - Final Provisions

10.1 - Changes

You acknowledge that these Terms can change over time and that We will take reasonable efforts to keep you updated of any change via one of our communication channels. Any amendments to these Terms shall enter into force insofar as You do not object within a period of 5 days in writing.

10.2 - Severability

The illegality, invalidity, nullity or unenforceability of any of the sections of these Terms will not affect the validity of its other provisions, which shall remain in full force and effect. Such sections are to be replaced or integrated into others that, in accordance with law, correspond to the objective of the substituted sections.

If, at any time, We fail to respond to a breach of these Terms by You, that failure will not waive our right to act with respect to subsequent or similar breaches. A waiver will only be binding on us if it is in writing and signed by one of our representatives.

10.3 - Waiver

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Community or the Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.

10.4 - Assignment

These Terms, and any rights and licenses granted under these Terms, including any claim arising out of these Terms, may not be transferred or assigned by You without our prior written consent, but may be transferred and assigned by Us without restriction.
